Applies to: every user who sells, offers, or lists anything through the Services — event Organizers, class Instructors, and, when the Store is enabled, Store Sellers (collectively, "Providers," "you").
Provider of the Services: Bobb LLC, a Wyoming limited liability company, d/b/a SteppersLife ("SteppersLife," "we," "us").
This Agreement supplements the SteppersLife Terms of Service. If it conflicts with the Terms of Service on a subject about selling, this Agreement controls for that subject.
1. Your account and eligibility
1.1 You must be 18+ and legally able to contract, operate in the United States only, and provide accurate identity, business, tax, and payout information.
1.2 You are responsible for keeping your account secure and for everything done under it, including by your staff.
2. Listings and your responsibilities
2.1 You are solely responsible for your events, classes, and items: their description, pricing, dates, locations, capacity, age restrictions, safety, permits, licenses, insurance, and lawful operation.
2.2 Your listings and content must comply with the Community Guidelines and all laws. You may not list prohibited content or run prohibited events (see Community Guidelines).
2.3 You must honor every ticket, enrollment, or order you accept, subject to your published refund/cancellation policy.
3. Merchant of record; SteppersLife's limited role
3.1 You are the merchant and seller of record for everything you sell through the Services. SteppersLife acts solely as a technology platform and payment facilitator that lets you sell and collect payment through your own connected payment account. Payment for your items is charged directly to your connected account. SteppersLife never takes title to, holds, or resells your tickets, enrollments, or goods, and never holds your sale funds; SteppersLife charges only a service fee. You are solely responsible for the event/class/item, all customer service, refunds, chargebacks, and all associated tax and legal obligations.
3.2 SteppersLife is not the organizer, promoter, producer, instructor, or seller of anything you offer, and is not a party to the contract between you and your customer. SteppersLife makes no representation or warranty regarding what you offer.
4. Payments, fees, and payouts
4.1 Payment processing. You must connect a payment account with our processor (currently Stripe) and agree to the processor's connected-account terms. Charges for your sales settle to your connected account. SteppersLife's service fee is taken as a platform fee at the time of sale.
4.2 SteppersLife service fee. SteppersLife charges a service fee for use of the platform, collected at the time of sale as a platform fee taken from the transaction. The SteppersLife service fee is generally non-refundable. The only exception is a refund that results from a SteppersLife platform fault — for example, a platform outage, a duplicate charge caused by the platform, or a pricing error caused by the platform. In a platform-fault refund, SteppersLife returns its service fee, including a prorated amount on a partial refund. See Refund Policy §6.
4.3 Payout timing and reserves are governed by the payment processor, not SteppersLife. The processor may hold, reserve, or delay funds per its risk rules. Unclaimed funds, reserves, and any tax withholding are handled by your payment processor under its agreement, not by SteppersLife.
4.4 We never hold your funds and do not control payout timing.
4.5 Card-network rules. Because you are the merchant of record, you must comply with the operating rules of the payment card networks and any alternative payment framework your connected account uses, as those rules are enforced through your payment processor. A violation may result in your processor holding funds, reversing transactions, or closing your account, which is a matter between you and your processor.
5. Refunds, cancellations, and chargebacks
5.1 You set and honor your own refund and cancellation policy, which must be shown to customers before purchase, and must meet the minimum standards in the SteppersLife Refund Policy.
5.2 You issue refunds from your connected account. SteppersLife does not hold funds to refund and does not issue refunds on your behalf.
5.3 Chargebacks and disputes are resolved against your connected account. You are responsible for responding to disputes and for resulting liabilities and fees, because you are the merchant of record.
5.4 SteppersLife service fee on refunds. The SteppersLife service fee is generally non-refundable. The only exception is a refund that results from a SteppersLife platform fault — for example, a platform outage, a duplicate charge caused by the platform, or a pricing error caused by the platform. In a platform-fault refund, SteppersLife returns its service fee, including a prorated amount on a partial refund. Outside a platform-fault refund, the service fee is not returned when you refund a customer. See Refund Policy §6.
6. Taxes
6.1 You are responsible for determining, collecting where required, and remitting all taxes on your sales, including any sales, use, admissions, amusement, or entertainment tax, and for all your own income and business taxes.
6.2 Where SteppersLife is required by law to collect and remit tax as a marketplace facilitator in a jurisdiction, SteppersLife (or its payment processor's tax tooling) will do so, and you authorize such collection on your behalf. You acknowledge that your payment processor — not SteppersLife — issues any applicable Form 1099-K reflecting your gross sales, before SteppersLife fees and before refunds.
7. Your representations, warranties, and indemnity
7.1 You represent that you have all rights, licenses, and permits to run your events/classes and to sell your items; that your content is truthful and non-infringing; and that you will comply with all laws (including consumer-protection, tax, accessibility, ticketing, and anti-fraud laws).
7.2 Indemnification. You will indemnify and hold harmless SteppersLife and its owners, officers, employees, and agents from any claim, damage, loss, penalty, or expense (including reasonable attorneys' fees) arising from your events, classes, items, content, refunds, chargebacks, taxes, or breach of this Agreement or the law.
8. Data and customers
8.1 You receive limited customer information to fulfill orders (for example, buyer name and order details). You are an independent controller of that data and must handle it lawfully, use it only to fulfill and service the transaction and as the customer consented, honor privacy/opt-out requests, and not sell or misuse it. See the Privacy Policy.
8.2 Your own marketing to customers must comply with CAN-SPAM, TCPA, and applicable state law; you are solely responsible for your marketing.
9. Prohibited seller conduct
No fee circumvention; no fake listings, fake demand, or deceptive pricing; no selling prohibited items or running prohibited events; no misuse of customer data; no chargeback or payout abuse; no infringement. Violations may result in listing removal, payout hold by the processor, suspension, or termination.
10. Suspension, termination, and effect
10.1 We may remove listings, suspend, or terminate your selling access for violations, legal or safety risk, or excessive disputes/refunds.
10.2 On termination you must still honor outstanding orders and refund obligations. Sections 3, 5, 6, 7, 8, and 11 survive.
11. General
11.1 Independent contractor. You and SteppersLife are independent; this Agreement creates no partnership, joint venture, employment, or agency, and SteppersLife is not your agent for the sale.
11.2 Governing law and disputes. Wyoming law governs; the dispute-resolution and venue provisions in Section 18 of the Terms of Service (exclusive Wyoming court forum; jury-trial waiver) apply to Providers.
11.3 Changes. We may update this Agreement with notice; continued selling is acceptance.
